Freeths advises Freudenberg on acquisition of Balmoral Comtec

Leading law firm Freeths has advised Freudenberg Flow Technologies, part of the Freudenberg Group, on its acquisition of Balmoral Comtec.

Freudenberg is a global leader in providing critical sealing and connector solutions and services for the energy sector. The significant acquisition supports the group’s strategic ambition to strengthen its position across both conventional energy markets and the energy transition, expanding its capabilities in sealing systems, buoyancy and cable protection solutions for a global customer base.

Balmoral Comtec, headquartered in Aberdeen, is a leading supplier of engineered buoyancy, cable protection and thermal insulation solutions, with more than 45 years’ experience serving the offshore oil and gas and wind industries. The business operates across three UK locations and as well as internationally, delivering projects across Europe, South America and Asia.

The transaction strengthens Freudenberg’s global business unit connectors and sealing solutions, enhancing its product offering and capacity to deliver integrated, technology-led solutions for the energy sector.

Leading the Freeths Corporate team was Corporate Partner Martin Smith from the East Midlands team and Corporate Managing Associate Ewen Lowrie of the Glasgow office. They were supported by Corporate Managing Associate Grace Hill and a wide range of the firm’s specialist practice teams.

In particular, the transaction required the expertise of the firm’s Competition team (Partner and Head of Competition Andrew Maxwell, Managing Associate Emma Lythgoe and Associate Isabella Coolican), and Real Estate support from Partner Nick Taylor and Managing Associate Barry Richards for Scottish and English aspects respectively.

Commenting on the deal, Martin Smith said: “This transaction is a strong example of the depth and expertise we bring to complex, cross-border energy deals. It also demonstrates the firm’s growing presence in the Scottish legal market. Right from launch, our team worked closely with Freudenberg to navigate the strategic and technical considerations around the acquisition, ensuring a smooth and efficient process throughout.

“Balmoral Comtec is a highly complementary business, and this deal strengthens our client’s capabilities at a critical time for the energy sector. We’re proud to have supported them on a transaction that reflects both continued investment in core markets as well as a commitment to the energy transition.”
