Freeths advises Vesper Infrastructure Partners on investment in EAG Bioenergy

5th November 2024

National law firm Freeths has advised Vesper Infrastructure Partners on its partnership with OrbeNovo Capital to become the majority investor in EAG Bioenergy.

Founded in 2022 and headquartered in Milan, Vesper is an independent advisor and investor that deploys value-add strategies for decarbonised, connected and sustainable infrastructures.

As a developer, aggregator and operator of bioenergy projects and a supplier of biogas and biomethane to the grid, EAG Bioenergy generates renewable heat, electricity and gas for homes and businesses.

This investment will allow EAG to scale its operating capabilities and progress other M&A and organic growth opportunities as the business continues its expansion throughout the UK and Ireland.

Freeths co-counselled with Herbert Smith Freehills on the transaction, with Freeths coordinating the due diligence exercise and engaging local counsel Arthur Cox to handle Northern Irish aspects. Leading the Freeths team was Partner and Head of Clean Energy Clare King with Senior Associate Reece Ballett. They were supported by Partner Ben Derrington, Directors Kirstin Roberts and Coralie Mckeivor, Senior Associates Veena Velani, Edward Peel and Helen Mitcheson, and Legal Assistant William Alcock. The Arthur Cox team was led by real estate partner Alastair Todd, supported by Cahal Carvill, David White and David Greatorex.

Commenting on the deal, Clare said:

“We are thrilled to have advised Vesper on this investment and are excited to watch EAG on its growth journey. We very much look forward to working with the Vesper, Herbert Smith and Arthur Cox teams on future projects.”
