Sheffield Firms Advise on Major International Deal

Sheffield headquartered GRI Group Ltd has exchanged contracts to sell its Belgian based subsidiary TensaChem S.

A. to Kuala Lumpur Kepong Berhad (KLK), a Malaysian headquartered major producer of oleochemicals. The transaction is subject to certain European regulatory approvals and is expected to complete within two months.  Initial consideration for the deal is €16.2 million, and is subject to adjustment up to a maximum total consideration of €17.6 million. Sheffield based advisers, law firm Nabarro and corporate finance advisers BHP Corporate Finance, acted on behalf of GRI Group. TensaChem is based on a 10 hectare freehold site in Liege, Belgium and is a leading manufacturer of a wide range of anionic surfactants and speciality chemicals, which are sold globally into the personal care, household care and industrial sectors. TensaChem generates annual revenues of c.€85 million, is internationally respected and operates to high levels of accreditations, including upper tier Seveso, ISO9001, ISO14001 & OHSAS18001.
